　　甲乙雙方經過詳細磋商，達成以下協議：

　　Party A and Party have reached an agreement to conclude the following contract：

　　一、甲方同意無息借款給乙方，作為購買生產設備用。

　　1. Party A agrees to supply a Interest-free loan to party B

　　for purchasing production facility.

　　二、借款金額：USD25 萬元，(美金貳拾伍萬美元整)

　　2. Loan Amounts： USD 250，000(two hundred and fifty thousand US Dollar)

　　三、借款期限：從________年12月01日起至______年12月01日止，共2年。

　　3. Life of loan： from 1st December______ until 1st December ______，totally 2 years

　　四、償還方式：從______年12月02日起分3次還清，可以提前還款。

　　4. Repayment term： 3 installments to pay off from 2nd December 2013， can be paid upfront.

　　五、匯款方式：甲方在______年12月3日前將USD12萬元分______次匯入乙方在中國農業銀行濰城支行開立的外債專用賬戶。

　　六、提款方式：乙方根據生產經營需要，憑單據或用款計劃向外匯管理局申請提款。

　　6. Withdraw term： According to the production and business operation demand， Party B applies to Foreign Exchange Control Bureau for withdraw money by related documents or Expensesplan.

　　七、違約責任：如乙方無法按時還清借款，甲方有權按乙方開戶行的年平均利率收取違約滯納金，直到還清為止。

　　7. Liability for breach of contract： On default of repayment by due date of Party B， Party A is entitled to charge for a late fee based on the annual average interest rate of Party Bs opening bank.

　　八、合同一式兩份，雙方各執一份，經國家外匯管理局濰坊中心支局批準后生效，至還清借款時失效。

　　8. 2 copies of the contract， one for each party， become effective when it is approved by Foreign Exchange Control Bureau WeiFang branch， become invalid after paying off all loans.

　　九、同未盡事宜雙方協商解決，如協商無效，按中國有關法律法規處理。

　　10. This contract negotiations to resolve outstanding issues， shall be dealt with according to the relevant Chinese laws if the negotiation invalid.

　　The second party wishes to borrow some funds from the first party for use. After full consultation, both parties hereby sign this contract.

　　Article 1: From [date] to [date], Party A shall lend Party B RMB [amount] at an annual interest rate of [amount]. The monthly interest rate for early repayment shall be calculated at ____.

　　This agreement would take effect after Party B transfer the amount of the capital set forth in Article 1 thereof to Party A’s designated bank account; the information of the bank account would as follows:

　　2. 本協議自生效后，如須變更，須經雙方協商一致并書面簽章確認。

　　After the agreement come into force, if any modification needed, Parties shall have common written confirmation to the modification.

　　3. 借款期限屆滿前一個月內，經乙方請求，如甲方同意續借前述借款，則本協議依照原計息方式自動延期一年。

　　Within one month after expiration of the lending term, if Party A agrees to renew the loan after Party B’s application, the lending term could be automatically extended for one year and remained the original lending rate.

　　4. 本協議自乙方全額歸還借款本金及利息之日起終止。

　　This agreement would be terminated after PartyＢrepay the total amount of principle and interest to Party A.

　　第六條其他

　　Miscellaneous

　　1. 本協議如有未盡事宜，甲乙雙方經協商一致，可簽署補充協議，補充協議與本協議具有同等效力。

　　Any issue that not covered in this agreement could be settled in the additional agreement after Parties negotiation; the additional agreement has same legal effect as this agreement.

　　2. 本協議履行過程中如產生糾紛，甲乙雙方應通過協商解決，協商不成，任意一方均可向當地有管轄權的人民法院提起訴訟。

　　For any dispute comes from performance of this agreement, Parties shall firstly resolve the dispute through amicable consultation, if not work, each party has the right to raise a litigation to the jurisdiction court.

　　3. 本協議一式兩份，甲乙各執一份，均具有同等法律效力。

　　This agreement is in duplicate, each party hold one copy, and each copy has the same legal effect.
